The term "LeaveWizard" or "us" or "we" refers to the owners of the website. The terms and conditions contained in this Agreement form the entire agreement between LeaveWizard and the User and replace all other communications. LeaveWizard reserves the right to vary these terms and conditions from time to time. Notice of changes shall be notified by posting on the site. Continued use of the Service for a period exceeding two weeks after receipt of notification will represent acceptance. The User acknowledges that he has read and accepted the terms of this Agreement. Use of the Service shall be considered as acceptance of the terms of this Agreement. Nothing in this Agreement shall be interpreted to create a joint venture, partnership or agency relationship between the User and LeaveWizard. The parties to this Agreement are independent contractors and neither party shall have the right or authority to incur any liability debt or cost or enter into any contracts or other arrangements in the name of or on behalf of the other.
LeaveWizard Service
All the services on the website are solely provided by LeaveWizard. LeaveWizard provides easy leave management service based on the terms set out in this agreement. This service aims to be available online 24 hours a day, 7 days a week however LeaveWizard reserves the right to stop the service for maintenance or upgrades. In such cases LeaveWizard will make every attempt to provide reasonable in the circumstances notice and if possible carry out the work during scheduled maintenance hours LeaveWizard reserves the right (without any obligation) to inspect the content of material transmitted by you through the Service to make sure that it complies with the terms and conditions of this Agreement or any applicable laws. If we find material that does not comply we reserve the right to suspend or terminate this Agreement.
Payment Terms
Monthly Terms: A valid credit card is required for you to continue using the Service if you require more than 5 active users on a month-to-month basis. The service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, downgrade accounts, or for months unused with an open account. If you upgrade your account to provision more users then a pro rated amount will be charged immediately to your credit card. All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.
Cancellation and Termination.
You are solely responsible for the proper cancellation of your account. You may cancel your account at any time by sending us an email to accounts@leavewizard.com stating the word "CANCEL" in the subject. The email address requesting cancellation must be the address of an authorised active administrator account . There will be no refund if you cancel the Service before the end of your current, paid-up month, and you will not be charged thereafter. There is no cancellation fee. Cancellation is immediate, and all of your Content will be immediately deleted from the Service upon cancellation. LeaveWizard may at any time and for any reason terminate the Services, terminate this Agreement, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to your account or any files or other content contained in your account although residual copies of information may remain in our system.
Right to Suspend
This Agreement will continue until it is ended by LeaveWizard in accordance with this section. Leave Wizard may end this Agreement at any time without cause by giving the User at least 30 days notice in writing using e-mail. In the event that the User engages in any activities, which are in breach of this Agreement LeaveWizard, may at its sole discretion and without prejudice to any other legal rights or remedies which it may have (in any order) take any one of the following actions: Notify the User by e-mail and allow up to five working days for the User to prove why LeaveWizard should not take further action Suspend the Services for a period of time Terminate this Agreement and the Service.
Intellectual Property
All intellectual property rights in the LeaveWizard web site including without any limitation all the html and other scripts, the design and layout as well as graphics, the information content and any software made available by Leave Wizard to enable the User to use the Service shall remain the property of Leave Wizard. LeaveWizard grants the User a non-exclusive non-transferable licence to use such software solely in connection with and to the extent necessary for use of the Service and for no other purpose. The User shall not decompile, reverse engineer or modify the software referred to above in any way except as is expressly provided in Section 50B of the Copyright Design and Patent Act. 1988.
User
The User guarantees that all information provided on sign-up and during the use of the service is true, complete and accurate and that the User will inform LeaveWizard of any changes to such information. The User agrees that LeaveWizard may hold information in our database, to help identify and provide details of other products and services which may be of interest to you The User agrees to make every attempt to ensure the correct use of the User’s user name and password by authorised parties only. The User guarantees that any person to whom its user name or password is disclosed is legally authorised to act as the User's agent for the purposes of working with the Service The User should not transmit information via the Service which may breach any terms of this Agreement or any applicable laws or codes of practice. This includes but is not limited to: transmitting information which is obscene, threatening, offensive, insulting, in breach of confidence or otherwise unlawful; knowingly transmitting material that contains worms or viruses which are likely to damage systems or data or engage in other activities which is in breach of the Computer Misuse Act 1990; transmit information which is likely to engage in activity which is in breach of applicable national and international laws. The User agrees when using the Service to observe the provisions of the Data Protection Act 1984 and subsequent related legislation.
Limitation of Liability
LeaveWizard provides the Service in accordance with the warranties as described in the LeaveWizard Service section. All conditions or warranties, which may be implied or incorporated into this Agreement by law or otherwise, are hereby expressly excluded to the extent permitted by law. In no event will LeaveWizard be liable for any indirect or consequential loss or damage of any kind however caused and whether arising under contract, crime or otherwise. The User agrees to assure LeaveWizard against any claims brought by a third party resulting from the User's use of the Service and in respect of any losses or liabilities incurred directly by LeaveWizard as a result of the User's breach or non-observance of any of these terms and conditions. The User shall pay all costs, damages, awards, fees (including any reasonable legal fees) and judgements awarded against Leave Wizard arising from any such claims and shall provide Leave Wizard with notice of such claims, full authority to defend, compromise or settle such claims and reasonable assistance necessary to defend such claims, at the Users sole expense. The provisions of this section shall survive any termination of this agreement.
